Match Me Event Services Terms of Use
Welcome to Match Me Event Services a service for event professionals and clients. By using Match Me Event Services ("Match Me"), web site, (the "web site") you are bound by these terms of use, (this "agreement"), whether or not you register as a member (“member") of Match Me Event Services. If you wish to become a member and make use of Match Me Event Services, please read these terms of use. IF YOU OBJECT TO ANYTHING IN THIS AGREEMENT DO NOT USE THE WEBSITE AND/OR ITS SERVICES.
This agreement is subject to change by Match Me Event Services in its sole discretion at any time, with or without notice. Your continued use of this site or the services after the posting of revisions to this agreement will constitute your acceptance of such revisions.
Match Me Event Services matches event professionals with clients requesting event services.
A. TERMS AND CONDITIONS OF USE MATCH ME EVENT SERVICES.COM
1a. ACCEPTANCE OF TERMS OF USE AGREEMENT
a. Electronic Agreement. This agreement is an electronic contract that sets out the legally binding terms of your use of the web site and your membership in the service. By using the web site or becoming a member, you accept this agreement and agree to the terms, conditions and notices contained or referenced herein.
b. Electronic and non-electronic copy. By accessing the web site or becoming a member, you consent to have this agreement provided to you in electronic form. Further, you have the right to receive this agreement in non-electric form by requesting a non-electric copy of this agreement either before or after you electronically sign the document. To receive a non-electric copy of this agreement, please send an e-mail to admin@eventmatchup.com
2a. USE OF SITE AND SERVICE.
As a user of the site or a user registered to use any of the services (a “registered user”), you agree to the following:
a. Exclusive use. Your account is for your personal use only. You may not authorize others to use your account, and you may not assign or otherwise transfer your account to any other person or entity prohibited by law.
b. Information submitted. You are solely responsible for, and assume all liability regarding, (i) the information and content you contribute to the service; (ii) the information and content you post, transmit, publish, or otherwise make available (hereinafter “post”) through the services; and (iii) your interactions with other registered users through the services.
c. No false information. You will not provide inaccurate, misleading or false information to Match Me or to any other user. If information provided to Match Me or another user subsequently becomes inaccurate, misleading or false, you will promptly notify Match Me of such change.
3a. TERMS
a. This agreement will remain in full force and effect while you use the Web site and/or a member. You may terminate your membership at any time by sending an e-mail to admin@eventmatchup.com If you terminate your membership your subscription will remain active until the end of your then-current subscription period (that is, the subscription period through which you had paid prior to your termination). Match Me will send via e-mail a notice of termination to the e-mail address you have provided.
b. Match Me reserves the right to terminate your membership at any time because you have breached this agreement and you will not be entitled to any refund of unused fees.
c. Match Me reserves the right to remove from our Web site your name or company name for any reason Match Me deems and you will not be entitled to any refund of unused fees.
4a. PROPRIETARY RIGHTS.
a. Ownership of proprietary information. You hereby acknowledge and agree that Match Me is the owner of highly valuable proprietary information, including without limitation, the compatibility matching system, compatibility profiles, and questionnaires (collectively, “confidential information”). Match Me owns and hereby retains all proprietary rights in the services and the site, including but not limited to, all confidential information.
b. No use of confidential information. You will not post, copy, modify, transmit, disclose, show in public, create any derivative works from, distribute, make commercial use of, or reproduce in any way any (i) confidential information or (ii) other copyrighted material, trademarks, or other proprietary information accessible via the services, without first obtaining the prior written consent of the owner of such proprietary rights.
5a. DISCLAIMERS.
a. Match Me is not responsible for any incorrect or inaccurate content submitted or posted on the web site or in connection with the service, whether caused by users of the web site, members or by any of the equipment or programming associated with or utilized in the service.
b. The Match Me service is provided to you "as is" and "as available" with no warranty to the maximum extent permitted by law, Match Me disclaims all warranties or conditions of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, title, non-infringement, the implied condition of satisfactory quality and implied warranties arising from course of dealing or course of performance. You acknowledge that if you rely on any information or content on the service, you do so solely at your own risk.
c. Match Me pre-screens its members, and makes inquires into the professional backgrounds of its members and attempts to verify the statements of its members. Match Me and its contractors may use various ways of verifying information that users have provided. However, we cannot absolutely guarantee this information, and you agree that Match Me and its contractors will have no liability to you arising from any incorrectly verified information.
6a. THIRD-PARTY WEB SITES
a. The services may contain links to web sites of third-parties, including without limitation, advertisers, which are not under the control of Match Me, and Match Me is not responsible for the content of any linked site or any link contained in a linked site, or any changes or updates to such web sites.
7a. LIMITATION OF LIABILITY.
a. Incidental damages and aggregate liability. In no event will Match Me be liable for any incidental, special, consequential or indirect damages arising out of or relating to the use or inability to use the services, including, without limitation, damages for loss or corruption of data or programs, service interruptions and procurement of substitute services, even if Match Me knows or has been advised of the possibility of such damages. Under no circumstances will Match Me aggregate liability, in any form of action whatsoever in connection with this agreement or the use of the services or the site, exceed the price paid by you for your account.
8a. NO LIABILITY FOR NON-MATCH ME ACTIONS.
a. To the maximum extent permitted by applicable law, in no event will Match Me be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the services, including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other registered users of the services. This includes any claims, losses or damages arising from the conduct of users who have registered under false pretenses or who attempt to defraud or harm you.
9a. INDEMNIFICATION.
a. You agree to indemnify and hold Match Me, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the service in violation of this agreement and/or arising from a breach of this agreement and/or any breach of your representations and warranties set forth above.
10a. DISPUTES
Any controversy or claim arising out of or relating to this site or the content or materials on this site shall be settled by confidential arbitration. The arbitrator's decision shall be final and legally binding and judgment may be entered in any court having jurisdiction. Each party shall be responsible for its share of the arbitration fees in accordance with the applicable Rules of Arbitration. In the event a party fails to proceed with arbitration, unsuccessfully challenges the arbitrator's award, or fails to comply with the arbitrator's award, the other party is entitled to costs of suit, including reasonable attorneys' fees for having to compel arbitration or defend or enforce the award. To the fullest extent permitted by applicable law, no arbitration under this agreement shall be joined to an arbitration involving any other party subject to this agreement, whether through class arbitration proceedings or otherwise. In the event you violate or threaten to violate any intellectual property right of Match Me Event Services or cause or threaten to cause any other significant and irreparable harm, you hereby consent to Match Me Event Services application to a court of competent jurisdiction for injunctive or other equitable relief to restrain such act or threat of action, without prejudice to any other relief in law or equity otherwise available to Match Me Event Services.
11a. WITHDRAWING YOUR CONSENT
A. You have the right at any time to withdraw your consent to have this Agreement provided to you in electronic form.
(i) Effect. Should you choose to withdraw your consent to have this Agreement provided in electronic form you will not have the right to use this Service.
(ii)Prospective Nature. Your withdrawal of consent shall be effective within a reasonable time after we receive your withdrawal notice described above. Your withdrawal of consent will not affect the legal validity or enforceability of the Agreement provided to, and electronically signed by you, prior to the effective date of your withdrawal.
B. EVENT BOARD CONDITIONS and TERMS OF USE
1b. EVENT BOARD SITE ACCESS.
Match Me Event Services.com ("Company") grants you a limited, revocable, and nonexclusive license to access and make use of this site. Site Access does not include the right to: (1) download or modify any portion of the site or its contents; (2) collect or use any listings, descriptions, or other content appearing on this site for any intention or purpose other than by individuals for their personal career search or by employers and their agents for seeking prospective employees.
2b. EMPLOYMENT LISTINGS.
a. Company attempts to maintain accurate and timely employment listings on the Event Board site. However, Company does not warrant that employment listings or other content of this site is accurate, complete, reliable, current, or error-free.
b. Company has no control over the quality, safety or legality of the jobs or resumes posted, the truth or accuracy of the listings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings.
3b. USERS
Users.
a. As a user, you are responsible for your own communications and are responsible for the consequences of their posting.
b. The Company does not represent or guarantee the truthfulness, accuracy, or reliability of communications posted by users or endorses any opinions expressed by users. You acknowledge that any reliance on material posted by other users will be at your own risk.
c. The Company has no obligation to screen communications in advance and is not responsible for screening or monitoring material posted by users.
d. If you submit any information (email, resume, job posting, event posting, etc.) to our site, you agree not to:
Post or transmit anything that is defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, harmful, or that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law.
Post or transmit pyramid schemes or chain letters.
Post or transmit anything that violates the copyright or intellectual property rights of any person or entity, including but not limited to copyrights and trademarks.
Post or transmit a virus or any other harmful component.
Employers.
a. Employers are those users who submit account information and job postings
b. Job postings are accessed and viewable by anyone registered on the site. The Company is not responsible for the use of this information by any parties having access to it.
c. Employers are solely responsible for their postings on this site. d. Non-posted account information will not be shared with anyone except as directed by you or as required by law.
In addition to acceptance of our Terms and Conditions for Use of the Match Me Event Services Event Board, employers agree to adhere to Event Board Job Posting Terms as follows:
1. All job ads must be for legitimate job openings
2. All job ads must contain professional and lawful content.
3. All job ads posted on the Site are for read-only purposes. The reuse, redistribution, re-posting or other distribution of these job postings in any other manner is strictly prohibited.
By using the Match Me Event Services and its web site you are bound by these terms of use, (this "agreement"), whether or not you register as a member of Match Me Event Services.
